Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of AlgoPatrol (the “Service”), including our website (algopatrol.com), dashboard, API, and related services, operated by AlgoPatrol LLC (“we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Description of Service

AlgoPatrol is a SaaS platform that provides algorithmic and agentic AI-powered tools to help organizations identify potential patterns of federal healthcare fraud and support cybersecurity risk assessment and mitigation recommendations. The Service uses third-party AI inference (including Groq API), database services (Supabase), and payment processing (Stripe).

The Service is provided “as is” and is not intended to provide legal, medical, financial, or professional advice. Results generated by the Service (including fraud alerts, risk scores, and recommendations) are for informational purposes only and should not be relied upon as conclusive evidence.

3. Accounts and Registration

• You must be at least 18 years old to use the Service.
• You agree to provide accurate, current, and complete information during registration.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• We reserve the right to suspend or terminate accounts for violation of these Terms or suspected fraudulent activity.

4. Acceptable Use

You agree not to:

• Upload or process Protected Health Information (PHI) in violation of applicable laws (including HIPAA) or without proper authorization
• Use the Service for any illegal purpose or to violate any law or regulation
• Attempt to reverse engineer, decompile, or extract the underlying models or algorithms
• Interfere with the Service or attempt unauthorized access
• Upload malicious code, viruses, or harmful content
• Scrape, crawl, or systematically extract data from the Service without permission

5. User Content and Data

You retain ownership of any data you upload or input (“User Content”). By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and analyze it solely to provide, maintain, and improve the Service (including running agentic AI analysis via Groq API).

We do not store PHI or other sensitive personal health information long-term. Uploaded files are processed transiently and deleted after analysis unless you explicitly choose to retain them. You are solely responsible for ensuring you have all necessary rights and consents to upload User Content.

6. Subscriptions and Billing

• Some features require a paid subscription (Free, Pro, Enterprise tiers).
• Payments are processed securely via Stripe. You authorize recurring charges according to your selected plan.
• Subscriptions auto-renew unless canceled before the renewal date.
• No refunds for partial months or unused time, except as required by law.
• We may change pricing with 30 days’ notice.

7. Intellectual Property

The Service, including all software, AI models, designs, text, graphics, and algorithms, is owned by us or our licensors and protected by copyright, trademark, and other laws. You may not copy, modify, distribute, or create derivative works except as expressly permitted.

8. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, NOR THAT ANY FRAUD DETECTION OR CYBERSECURITY INSIGHTS WILL BE ACCURATE OR COMPLETE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or at our sole discretion with or without notice.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Minnesota, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Hennepin County, Minnesota.

11. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms.
